Terms and conditions

ToolsLab resells access to third-party software under agreements we hold with vendors or their authorised distributors. You are buying access to a plan, on the terms stated on that listing — not a licence transfer and not a resale key.

Every listing states the access model, the term, the seat count and the renewal date before you reach checkout. If a listing does not state something you need to know, ask support before buying.

Access is delivered under one of three models, and the model is always stated on the listing.

• Managed access — the plan is applied to an email address you nominate. Your history, projects and files are yours.
• Direct invite — the vendor invites your address directly and you accept on their site.
• Shared workspace — you are added to a managed workspace, with your own files kept separate within it.

Monthly plans share the 2nd of the month as their billing anchor. Your first period is prorated to the day you buy, so every plan on your account renews on the same date. Annual terms bill on their own anniversary.

The authoritative amount for any charge is calculated by our pricing engine at the moment the order is created. Figures shown earlier in the flow are estimates and are labelled as such.

You may not resell, sublicense or share access we provide. Seats are for the named account holder and the seat count you bought. Vendors may suspend a plan for breaching their own terms, and a suspension caused by your use is not covered by our guarantee.

Our liability for any order is limited to the amount you paid for it. We are not liable for a vendor discontinuing a product, changing its features, or altering its own terms.

When we change these terms materially we issue a new version and notify account holders fourteen days ahead. The version and effective date above always reflect the terms your current orders were placed under.
